Ensures good corporate governance (including structuring, drafting, and negotiation) in their area of accountability where required with respect to Mergers & Acquisitions (M&A)/divestiture and investment transactions. Counsels the management and business teams on legal risks associated with their strategy, plans or decisions and on the business impact of the changes/amendments in law from time to time. Responsible for handling major legal tasks involving problems of recognized complexity and ambiguity in facts, using their legal judgment and experience, and independent reasoning. Supports anticipating future business and legal opportunities and challenges and develop appropriate strategies to address them. Identifies risks, external threats, and opportunities to the company, proactively and proposes appropriate strategies. Monitors Intellectual Property (IP), through taking advice and guidance on IP matters and working with stakeholders from the IP function. Contributes to effectively grow and managing the Annual Performance Plan (APP) and controls outside counsel expenditures.
