Job Summary:
As a critical member of the Total Rewards team, the Executive Compensation Manager will support various matters related to executive compensation, including the design, development, implementation, and communication of executive compensation programs. This position will oversee the Company’s equity plan administration ensuring compliance with regulatory requirements and practices. In addition, this position will assist with the preparation of CD&A for the annual proxy statement and Compensation Committee materials.
Key Responsibilities:
Administer the Company’s equity compensation plans, including managing all equity transactions in our equity administration platform, equity awards, amendments, cancellations, reporting, etc. in an accurate and timely manner
Manage the Company’s long-term incentive plans, annual grant process, including modeling of plan usage, plan design, award nomination process and recommending plan changes as appropriate
Assist in the development of materials for the Compensation Committee meetings, including drafting, analysis, modeling, and market assessment
Prepare the CD&A section of the annual proxy statement. Prepare data, related compensation tables and disclosure in the summary compensation tables of the CD&A
Benchmark executive-level roles, providing market data and pay recommendations to support executive offers for new hires and promotions
Lead and participate in executive compensation projects, including drafting policies and procedures, the assessment of program efficiency and regulatory changes, and providing recommendations for improvements
Collaborate with key stakeholders across Finance, Legal and Controllership on accounting and regulatory aspects of executive compensation programs, vesting events, etc.
Maintain SOX compliance with regulatory requirements and various filings. Manage compliance activities to ensure internal controls and audit requirements are met
Support with M&A activities, including due diligence, executive compensation assessment and integration support
Support other compensation projects and initiatives as needed
Role Success Factors/Demonstrated Experience/Education:
Desire to work in a highly collaborative team that lives our Company’s values, including being Real and Innovative through balancing accountability and collaboration
Minimum 4 years of progressive compensation experience with increasing levels of responsibility
Minimum 2 years of experience in the executive compensation area
Experience with online stock plan administration record-keeping systems such as E-Trade
Strong data analysis skills with the ability to define problems, collect data, draw valid conclusions, and recommend and implement solutions
Ability to order and prioritize business needs while maintaining positive partnerships with clients
Strong communication skills and collaborative capabilities to operate effectively in a team environment, including Finance, Legal, HR and all levels of Management
Bachelor’s Degree
Highly proficient with Microsoft Excel
Experience with Workday is preferred
