    Resumen

    Drafting and negotiating all contractual transactions of all Beer Operations CBI Mexican entities and CIC´s day to day operations (OPEX) and capital projects (CAPEX), providing legal and business advice to all areas of Beer Operations.

    Responsabilidades

    1.Always protect CBI’s best interests, be a business partner to all areas in Beer Operations as well as a gatekeeper to CBI´s policies and processes. 2 .Have knowledge of corporate, contractual, labor and commercial law, and have general knowledge of other areas of law. The candidate must necessarily know how to prepare, read, understand, negotiate, comment on, and execute legal documents, with experience identifying important provisions or legal standards within our legal documents. The legal team is responsible for protecting CBI’s interests in all of our contracts and negotiations, and the candidate must be savvy and proactive to achieve this.

    3 .Review contract requests from all areas in Beer Operations; identify if such requests are correct or missing anything, to proceed with the relevant contract. This entails a detailed review of legal and contractual information and documentation received from all areas in Beer Operations. Candidate must understand legal and commercial terms involved; otherwise, the contract (and the overall business of the company) cannot advance.

    1. Prepare, negotiate and execute all types of contracts used by Beer Operations CAPEX and OPEX, including Purchase and Sales, Installations, Services, REPSE Services, Supply, Construction, EPC’s, Turn-Keys, DesignBuilds, among others. Also, work with LOI’s, Bridge Agreements, etc. Candidate must have legal knowledge on all of these contract types, and must know how the law works, in order to implement such knowledge within the contracts. Candidate must know Mexican legal provisions well and have experience in incorporating them and analyzing them from a contractual standpoint. The candidate will coordinate all contractual efforts mainly with the Procurement team; the Procurement team is responsible for the negotiation of all commercial terms within the contracts, while the Legal team is responsible for the implementation of such terms into the contracts, while assuring all Legal aspects are covered and correct.

    Once a contract is finalized and executed, the candidate will no longer be responsible for the lifespan of the contract, unless Legal’s involvement is required thereafter to modify or in any way amend such contract. The candidate will be supervised and supported at all times by its immediate Manager, either on the OPEX or CAPEX side, as applicable.

    1. Familiar with contract types the Specialist will regularly assist with. Understands most contract positions related to contract types they regularly handle and the rationale for the positions, including CBI's standard positions. Draws from that knowledge to build competencies for other types of contracts. Able to assist with a broader scope of contracts.

    2. Able to productively work with clients. Ongoing development relating to how to manage client expectations effectively. Strong written and verbal communication skills with clients, colleagues, employees and contract parties. Work with our different stakeholders, mainly satisfy our business team’s needs. The candidate must necessarily be available to respond to our stakeholders needs, doubts and concerns. This involves being available via email, calls, meetings, cell phone, etc. Candidate must be readily available to attend the business needs.

    3. Attend meetings and calls with legal team in support of all legal efforts for contracts, as well as with all other areas of CBI that require legal involvement and advice. Candidate must be able to resolve issues and provide advice when needed and have the knowledge to do so.

    8.Be able to communicate and interact with all interested parties involved in our contracts and contractual processes; be able to work with external counsel for guidance and direction. The candidate must be able to provide direction, advise and orientation as to what is needed from a legal perspective. Also, the candidate must be familiar with how to interact with external counsel, make requests, supervise the external work, and sign-off on work product. The legal team relies heavily on external counsel, and we need to be on top of them all of the time.

    1. Make smart and quick decisions when needed; seek support and advise from the Legal team when unsure. The legal team needs to be able to make important decisions immediately to get our operations through. Thus, the candidate must be able to problem solve all legal issues arising from our contracts, the negotiation thereof, and match these legal issues with the commercial terms being negotiated with each vendor.
