    The Associate Corporate Counsel will have a minimum of 2 years of In-House Corporate Counsel experience in a SaaS company.  They will work collaboratively with internal partners from Renaissance’s Legal department and various functional areas in the business in preparing, reviewing and negotiating varied SaaS and other technology and services contracts, and other legal matters as assigned.

    Associate Corporate Counsel Essential Functions and Responsibilities:

    • Draft, revise and negotiate SaaS, cloud services, software license and other agreements with customers in the United States and global markets, and coordinate with contract administrators to manage contract revisions and completion.
    • Work with Corporate Counsel, Contract Administrators and General Counsel to maintain, optimize and improve customer contract forms, playbooks, policies, and processes.
    • Work with sales, proposals, and other business teams to coordinate contract positions and terms.
    • Coordinate with privacy, compliance, and information security teams to review and revise data protection addenda and other privacy, security and compliance provisions and documentation.
    • Review, revise and broker other business contracts, including SaaS and content license, resale, partnership, independent contractor, vendor, supplier, and business process outsourcing agreements.
    • Assist business units and Corporate Counsel with other SaaS business legal matters, including intellectual property, privacy, compliance, and advertising and marketing.
    • Assist in M&A diligence and integration.
    • Partner with Legal Operations and Contract Administrators to help develop contract lifecycle management and other legal operations processes and tools.

    Associate Corporate Counsel Required Experience & Qualifications:

    • Juris Doctor degree from an accredited law school and be a member in good standing of at least one state bar.
    • 4+ years of law experience, with a minimum of 2+ years as an in-house corporate attorney.
    • Strong experience drafting and negotiating software and online technology contracts, with SaaS experience strongly desired.
    • Experience with privacy, compliance, and intellectual property in the context of software and online technology, either in connection with contracting or other business activity.

    Preferred Experience & Qualifications of an Associate Corporate Counsel:

    • Experience working in-house for an EdTech SaaS company, ideally in K-12 space.
    • Passion for technology transaction drafting, parleying, development, policies, and processes.
    • Strong interest in data privacy.
    • Ability to handle ambiguity, juggle multiple matters, and quickly shift from one situation or task to another.
    • Organizational and relationship leadership skills working cross-functionally, and in a team environment.
    • Sound business judgment and the ability to anticipate legal issues or risks and to build the processes and systems to prevent them from occurring.

    Salary Range: $120,500 - $180,800  

    This range is based on national market data and may vary by experience and location.
