Senior Counsel - IP Transactions

Position Summary...

What you'll do...

Counsel clients on complex intellectual property (IP) matters, particularly IP transactions and IP contractual issues; conduct IP due diligence and advise Walmart business sectors on related IP risks; analyze, negotiate, and draft licenses and collaboration agreements with a particular focus on the IP provisions while working with and bringing in other legal and business stakeholders as needed.

You’ll make an impact by…  

• Analyzing, structuring, and/or drafting a wide variety of IP agreements and agreements with IP provisions, including licenses, services agreements, pilot and evaluation agreements, supplier and vendor agreements, joint development agreements, and non-disclosure agreements, among others
• Building relationships with legal colleagues and business clients to establish yourself as a point of contact for IP transactional matters
• Formulating and implementing a comprehensive approach to safeguarding our IP rights relative to our third party relationships
• Working with the M&A team to conduct IP due diligence and risk assessments related to potential acquisitions, divestitures, and mergers
• Identifying legal risk in IP transactions across the company
• Engaging with and conducting trainings for legal, business, and technical teams about IP risks related to IP agreements and third party relationships

• You have experience working with engineers, R&D personnel, and business executives and can speak to each on their level
• You are an IP generalist with experience in patents, trademarks, and copyright
• You are able to independently and concurrently support and prioritize a large number of projects
• You are willing to challenge the status quo
• You have demonstrated bias towards action and innovation
