Position summary

ce & Compliance**

  • Support preparation and coordination of Board and Committee materials, including compiling meeting books using BoardVantage.

  • Own scheduling, calendaring, and coordination of logistics related to Board and Committee meetings.

  • Draft corporate governance documents including resolutions, meeting minutes, and secretary certificates.

  • Assist with preparation of Chewy's annual proxy statement and support additional SEC filings as needed.

  • Assist in planning and logistics for Chewy's annual stockholder meeting and proxy distribution.

  • Draft and coordinate Section 16 filings, maintain EDGAR access credentials, and manage records of insider ownership.

  • Conduct legal research and benchmarking related to SEC and NYSE compliance and governance practices.

  • Maintain and organize corporate policies, governance templates, and internal resources.

Legal Entity Management & Licensing

  • Own and manage Chewy's legal entity portfolio, including formation, dissolution, and annual reporting obligations for domestic and international subsidiaries.

  • Support Chewy's Treasury and Tax teams with legal entity structuring, subsidiary management, and intercompany documentation.

  • Coordinate with Chewy's registered agent and third-party providers to manage business, corporate, and professional licenses across all jurisdictions.

  • Monitor license application status, track renewal deadlines, and follow up with internal partners to resolve open items.

Special Projects & Cross-Functional Support

  • Contribute to corporate projects, including process improvement, compliance initiatives, and legal operations enhancements.

  • Manage legal operations tools and systems for the Corporate legal team.

  • Collaborate with other members of the Legal team to provide support across various legal workstreams.

  • Maintain strong, proactive communication with internal partners, exercising sound judgment, discretion, and a high level of professionalism.

What You'll Need:

  • Bachelor's degree required; paralegal certificate from an ABA-accredited program preferred.

  • 5+ years of experience in a law firm or in-house legal department, with direct experience supporting corporate governance and public company compliance.

  • Strong familiarity with Workiva, BoardVantage, and the Section 16 filing process.

  • Advanced proficiency in Microsoft Office 365, especially Excel and PowerPoint.

  • Outstanding attention to detail, analytical skills, and organizational ability.

  • Demonstrated ability to manage multiple priorities and meet deadlines in a fast-paced environment.

  • Strong verbal and written communication skills and the ability to collaborate across functions and seniority levels.

  • Experience with equity administration platforms and legal entity management tools is a plus.

  • No travel required.
