    Position summary

    • Review, draft, and negotiate a broad range of contract types that require input from stakeholders (e.g., information security, privacy, compliance, business, regulatory counsel, vendor management, etc.): trademark and copyright licenses, professional services, software license, ASP/hosting, cloud, SaaS/IaaS/PaaS, development and innovation, e-commerce, advertising, marketing agreements, market data licenses, and outsourcing agreements, among others.

    • Supervise a team of commercial attorneys, working with each on performance objectives, OKRs, and KPIs.

    • Develop a system for workflow delegation and workload balancing within and across Legal verticals and in collaboration with the Deputy Chief Counsel - Commercial.

    • Work across the enterprise to define, create, standardize, and implement policies and procedures for various contract types.

    • Working closely with Legal Operations team, support cross-functional assessments of contracting efficiency to find new opportunities for improvement.

    • Stay up to date on developments related to contract management including technology benchmarking and best practices.

    • Develop, execute, and maintain contracting efficiency objectives through thoughtful change management approaches.

    • Prepare and deliver reports to senior leaders on the status of contracting programs.

    This is a hybrid position, working in the Westlake, TX office location

    What you have

    To ensure that we fulfill our promise of "challenging the status quo," this role has specific qualifications that successful candidates should have

    Required Qualifications:

    • Bar admission in at least one US state required.

    • 7+ years of professional experience with at least 3 years in-house, ideally in the financial services industry.

    • 5 + years of significant transactional experience and subject matter expertise in standard commercial terms (privacy, infosec, indemnities, limits on liability, confidentiality, IP, etc).

    • Track record of providing proactive, solution-oriented advice to stakeholders on critical legal, business, and regulatory issues, and responding to counterparties on critical commercial terms.

    • Understanding of how to balance legal risk with business objectives, successfully evaluate alternatives quickly and get deals closed.

    • Experience as a people-leader in a highly matrixed environment.

    • Experience partnering with outside counsel.

    • Optimism, emotional intelligence, inspirational leadership, and outstanding communication skills.

    • Demonstrated program management, planning an analysis capability, particularly with legal transformation projects.

    • Creative and innovative approach to optimize utilization of resources, leverage tools and adapt processes for greater efficiency and effectiveness.

    • Ability to counsel senior management, including the ability to communicate risks clearly and succinctly on intellectual property matters, technology transactions and other commercial contracts.

    Preferred Qualifications:

    • Experience with the following technologies: iManage ,eCounsel, CLM, and Ariba/SAP.

    • CLM experience.

    • Exposure to Intellectual Property.
